Minutes of the Mueller Neighborhood Association (MNA) Steering Committee – ADOPTED BY STEERING COMMITTEE ON FEBRUARY 2ND, 2022

January 5, 2022

The Zoom meeting was called to order at 7:02pm by Chair Koreena Malone.

Steering Committee (SC) Members present:  Shelly Baldwin, Joy Butler, Erin Gaines, Ann Hart, Koreena Malone, Mary Ellen Mondi, Damaris Nicholson, Josh Rudow, Jason Sears, Karen Swenson, and Marta White, ex officio

Guests present:  Mateo Barnstone, Andrew Clements, Ani Colt, Ted Herr, Yasmiyn Irizarry, Joan Quenan, Saamiya Seraj, Sarah Seraj, Neena Satija, John Thomas, Amanda Trevino, Preston Tyree, Marcos Vanetta, John Wooding

Koreena opened the meeting by welcoming everyone and introducing the 2022 SC members.

The Minutes of the 12/1/21 SC meeting were approved as submitted by Damaris Nicholson via e-mail.  Minutes will be uploaded into the SC Google Drive.

Outgoing Treasurer John Thomas presented the Profit and Loss Statements for December 2021 and for all of 2021.  Net profit for 2021 was $8,471.04 resulting in cash on hand of $21,225.88 and total assets of $23,381.96.  The documents John shared will be uploaded into the SC Google Drive.

2022 Treasurer Jason Sears provided a line-by-line explanation of the proposed MNA budget for 2022.  The proposal included both pragmatic and aspirational goals to account for different scenarios all of which would leave the MNA with money in the bank at the end of the year.  Jason’s presentation will be uploaded into the SC Google Drive.

At this point in the meeting, the Steering Committee went into Executive Session as allowed for in the MNA by-laws.  Outcome of Executive Session was that Shelly Baldwin was elected Vice President for 2022 and Brett Hall, Paula Rojas, and Sarah Seraj were elected to fill the three open spots on the SC.  There are now 13 members of the Steering Committee, the maximum allowed by the current by-laws.  Karen Swenson volunteered to support Shelly by helping with Membership.

The SC returned to its regular proceedings at 8:40 at which time the guests rejoined the Zoom.

Joy Butler and John Wooding shared a PowerPoint titled “White People Working for Racial Justice” (to be uploaded into the SC Google Drive) which included the Diversity and Inclusion Statement adopted by the MNA three years ago.  Joy, John and members of the Diversity, Equity, and Inclusion Committee have researched and compared four providers of anti-racism training programs and the Justice Leaders Collaborative rose to the top as the best fit for the MNA’s purposes and budget.  Joy and John laid out the cost of the training, financial expectation of the participants and requested an initial $2,500 from the MNA in order to offer the training to Mueller residents later this year.  After some discussion, Karen Swenson moved to accept the proposal and allot $2,500.  The motion was seconded and passed with unanimous vote.

Erin Gaines led a brief review of the MNA by-laws and suggested that an in-depth review should be conducted this year.  Koreena appointed Shelly Baldwin chair of the By-laws Committee.  Erin, Joan Quenan, Andrew Clements, Saamiya Seraj, and John Wooding volunteered to serve on the committee. Koreena to review potential vendors to assist with board governance training in July and potential for July Steering Committee retreat.

Koreena proposed the following schedule for 2022 SC and General Meetings:  January, February, March, May, July, September, and November.  SC members approved the schedule with the understanding that we can always add in more meetings as needed.

Guest Joan Quenan expressed concern that planning for the Spring Fling had not been included on the evening’s agenda.  Koreena assured her that it would be on the 2/2/22 SC meeting agenda noting that COVID restrictions could have a tremendous impact on any 2022 neighborhood events.

The meeting adjourned at 9:30 pm.
